Measurement Date. (1) prior to a Qualified IPO, the last day of any fiscal quarter, starting with the last day of the eighth full fiscal quarter after May 29, 2007, (2) following a Qualified IPO, each trading day, starting with the 90th trading day following the Qualified IPO, or (3) the date of a Claire's Investors Liquidity Event, whether before or after a Qualified IPO.
