Officer

Officer. Means a person who is an officer of the Company within the meaning of Section 16 of the Exchange Act. 23

Shall mean a person who is appointed or elected by the Board of Directors as an officer of the Company and is a part of the Company's executive management team, including but not limited to (i) a person who is an officer within the meaning of Section 16 of the Exchange Act and the rules and regulations promulgated thereunder and (ii) a Named Executive.

Officer. Means (i) before the Listing Date, any person designated by the Company as an executive officer of the Company or an executive officer of an Affiliate and (ii) on and after the Listing Date, a person who is an officer of the Company within the meaning of Section 16 of the Exchange Act and the rules and regulations promulgated thereunder and any person who is an officer of an Affiliate within the meaning of Section 16 of the Exchange Act and the rules and regulations promulgated thereunder.
