Participant

Participant. Means a highly compensated or management employee of SouthTrust who has been notified by the Committee that he is covered under this Plan.

Participant. Shall mean an individual serving as CEO of the Company for whom an Incentive Award is established by the Committee with respect to the relevant Plan Year.

Participant. Means a key employee of the Company, or one of its subsidiaries, joint ventures or affiliates, who is designated by the Committee to receive an Award under the Plan.

Participant. An employee of the Company to whom an Award has been made under the Plan.

Participant. Shall mean an employee, non-employee director or consultant of the Company to whom an Award is granted pursuant to the Plan.

Participant. Shall mean any Employee for whom an Account is maintained under the Plan.

Participant. Shall mean (i) each executive officer of the Company and (ii) each other employee of the Company or a Subsidiary whom the Committee designates as a participant under the Plan.

Participant. An employee of the Corporation to whom a Grant is made; and

Participant. Means an Eligible Individual to whom one or more Awards are or have been granted under this Plan and have not been fully settled or cancelled and, following the death of any such person, his successors, heirs, executors and administrators, as the case may be.

Participant. Means an Eligible Employee that participates in the Plan.
