Participant

Participant. Oscar Schmidt, Senior Vice President and RegionalManager, Latin America in the International Business of the Company.

Participant. Participant means an Eligible Employee who has received notification of his or her eligibility to defer Compensation under the Plan under Section 3.1 and any other person with an Account Balance greater than zero, regardless of whether such individual continues to be an Eligible Employee. A Participant's continued participation in the Plan shall be governed by Section 3.2 of the Plan.

Participant. Means a Non-Employee Director who is eligible to participate in this Policy.

Participant. Means an employee who is selected to participate in this Retention Plan.

Participant. One of the Executive Officers

Participant. An eligible Employee who meets the eligibility requirements set forth in Section 4 and who makes a contribution to the Plan

Participant. Means an Employee, director or Consultant of the Company or an Affiliate to whom one or more Stock Rights are granted under the Plan. As used herein, "Participant" shall include "Participant's Survivors" where the context requires. A Participant must be an "employee" of the Company or any of its parents or subsidiaries within the meaning of General Instruction A.1(a) to Form S-8 if such individual is granted a Stock Right that may be settled in Shares.

Participant. Means any of the following who are granted Class P Units under the Plan: officers, employees, directors, Managers, consultants, or other advisors of the Company or the Managers. Notwithstanding the foregoing, consultants and advisors of the Company or the Managers shall not be Participants unless (i) they are natural persons, (ii) they provide bona fide services to the Company or the Managers, and (iii) the services are not in connection with the offer or sale of securities in a capital-raising... transaction, and do not directly or indirectly promote or maintain a market for the Company's securities. Participant. An Eligible Director who elects to participate in the Plan by filing an Election Notice in accordance with Section 4, as well as any former Eligible Director who remains entitled to a benefit under the Plan.
