Participation Agreement

Participation Agreement. The participation agreement delivered to each Eligible Executive by the Committee prior to his or her entry into the Plan evidencing the Eligible Executive's agreement to participate in the Plan and to comply with all terms, conditions and restrictions within the Plan.

Participation Agreement. As used herein and in the Operative Agreements (as defined in the Participation Agreement) shall mean such agreements as hereby amended and modified, and as further amended, modified, supplemented or restated from time to time in accordance with the terms thereof.

Participation Agreement. Shall mean the agreement between NCT and a Participating institution establishing the terms of the participation of such Participating Institution in the GATE Universal Program referred to in Paragraph 12(b) below.

Participation Agreement. Means the Participation Agreement dated May 8, 2002 between the Borrower and Lender.

Participation Agreement. Means the agreement submitted by a Non-Employee Director to the Secretary of the Company pursuant to which a Non-Employee Director may elect to receive all or any portion of his or her Retainer in the form of Voluntary Shares for a specified period in the future.

Participation Agreement. Means an agreement between a Covered Employee and the Company in substantially the form of Appendix A attached hereto, and which may include such other terms as the Administrator deems necessary or advisable in the administration of the Plan.

Participation Agreement. Means an agreement between the Company and an individual pursuant to which the individual becomes a Participant in the form specified by the Plan Administrator. Participation Agreements for each Participant need not be the same and may contain such terms and conditions, not inconsistent with the Plan, as the Plan Administrator may determine appropriate.

Participation Agreement. A written notice filed by an Eligible Employee with the Company in substantially the form attached hereto as Exhibit A, electing to participate in the Plan and agreeing to the reduction under Section 3 and the other terms of the Plan.

Participation Agreement. (s) "Participation Agreement" means the individual agreement (a form of which is shown in Appendix A) provided by the Administrator to an employee of the Company designating such employee as an Eligible Employee under the Plan, which has been signed and accepted by the employee.

Participation Agreement. Shall mean a fully executed agreement between a Covered Executive and the Company by which the Covered Executive's acknowledges and agrees to the terms and conditions of the Covered Executive's participation in the Plan.
