Payment

Payment. Means any payment or distribution in the nature of compensation (within the meaning of Section 280G(b)(2) of the Code) to or for the benefit of the Executive, whether paid or payable pursuant to this Agreement or otherwise.

Payment. Means all checks, wire transfers and other items of payment received by Silicon (including proceeds of Accounts and payment of the Obligations in full) for credit to Borrower's outstanding Loans or, if the balance of the Loans have been reduced to zero, for credit to its Deposit Accounts.

Payment. A payment to be made by Company to University specified in section 6.1 of this Agreement and described in section A3 of attached Exhibit A.

Shall mean any and all amounts which Indemnitee is or becomes legally obligated to pay in connection with a Covered Claim, including, without limitation, damages, judgments, fines, ERISA excise taxes or penalties, amounts paid in settlement, costs of investigation, attorneys' fees, costs of investigative, judicial or administrative proceedings or appeals, and costs of attachment or similar bonds.

Payment. Means all checks, wire transfers and other items of payment received by Bank (including proceeds of Accounts and payment of the Obligations in full) for credit to Borrower's outstanding Advances or, if the balance of the Advances have been reduced to zero, for credit to its Deposit Accounts.

Payment. Shall mean any payment or distribution in the nature of compensation (within the meaning of Section 280G(b)(2)(A) of the Code) to or for Employee's benefit, whether paid or payable pursuant to this Agreement or otherwise pursuant to any plan, agreement or understanding between Employee and the Company that, within the meaning of Section 280G(b)(2)(A)(i) of the Code, is contingent on a change in the ownership or effective control of the Company or in the ownership of a substantial portion of the... assets of the Company. Payment. Shall be equal to the Reduced Amount.

Payment. Shall mean any payment, distribution or benefit that is and has been received or may be received by any Participant under this Retention Plan.

Payment. Would (i) constitute a "parachute payment" within the meaning of Section 280G of the Code, and (ii) but for this sentence, be subject to the excise tax imposed by Section 4999 of the Code (the "Excise Tax"), then such Payment shall be reduced to the Reduced Amount.
