Payment

Payment. A payment to be made by Company to University specified in section 6.1 of this Agreement and described in section A3 of attached Exhibit A.

Payment. Any payment or distribution in the nature of compensation (within the meaning of Section 280G(b)(2) of the Code) to or for the benefit of the Executive, whether paid or payable pursuant to this Agreement or otherwise.

Means all checks, wire transfers and other items of payment received by Bank (including proceeds of Accounts and payment of the Obligations in full) for credit to Borrower's outstanding Advances or, if the balance of the Advances have been reduced to zero, for credit to its Deposit Accounts.

Payment. Any direct or indirect payment or distribution of assets of any kind or character, whether in cash, property or securities, by setoff or otherwise, on or with respect to the Subordinated Indebtedness, including any principal of or interest on the Subordinated Indebtedness, but excluding any payments or distributions made in the form of PIK Interest hereunder or additional subordinated notes or capital stock that is subordinated to the Senior Indebtedness to at least the same extent as this Note.

Payment. Means a payment or transfer by the Company under the Plan to or for the benefit of a Participant.

Payment. Trigger shall mean any of the following that occurs during the term of this Agreement: (i) termination of the Executive's employment by the Company without Cause, at any time other than within twelve (12) months following a Change in Control, and other than as a result of the Executive's Disability; or (ii) Constructive Termination of the Executive while the Executive remains employed by the Company or its successor, or termination of the Executive's employment by the Company without Cause... within twelve (12) months following a Change in Control occurring during the term of this Agreement.
