Payment

Payment. Is when Buyer has received payments equal to the Total Purchased Receivables.

Payment. Means (i) any payment or portion thereof with respect to the retention bonuses under Sections 4.1 or 4.2, (ii) the Transaction Bonus under Section 4.3, or (iii) any payment that is described in Section 280G(b)(2) of the Code which is received by Executive during the Term. All Payments shall be made less applicable federal, state and local tax withholding and payroll deductions.

Payment. Means (i) a Payment made by Exult to Campbell pursuant to Section 2(a), (ii) payments previously made by Exult to Campbell as described in Section 2(b), and (iii) any amounts or value, other than salary, expense reimbursements, and standard benefits to which Campbell is entitled pursuant to applicable Exult policies, that Exult or any of Exult's Affiliates pays or provides to Campbell or Campbell's successors or assigns and that Exult designates at any time by written notice to Campbell or... Payment. Means the Regular Employee Payment, Key Manager Payment and the Executive Payment.

Payment. Has the meaning assigned to that term in Section 9.1 above (except as otherwise provided in Section 1(a)).

Payment. Any payment, benefit or distribution (or combination thereof) by the Company, any of its Affiliates or any trust established by the Company or its Affiliates, to or for the benefit of a Participant, whether paid, payable, distributed, distributable or provided pursuant to the Plan or otherwise, including any payment, benefit or other right that constitutes a "parachute payment" within the meaning of Section 280G of the Code.

Payment. Has the meaning set forth in paragraph 3(a) of this Severance Plan.

Payment. Would constitute a "Parachute Payment" within the meaning of Section 280G of the Code, the Payments shall be reduced to the extent necessary so that no portion of the Payments shall be subject to Excise Tax, but only if, by reason of such reduction, the net after-tax benefit to the Executive shall exceed the net after-tax benefit to the Executive if no reduction was made.

Payment. Any direct or indirect payment or distribution of assets of any kind or character, whether in cash, property or securities, by setoff or otherwise, on or with respect to the Subordinated Indebtedness, including any principal of or interest on the Subordinated Indebtedness, but excluding any payments or distributions made in the form of PIK Interest hereunder or additional subordinated notes or capital stock that is subordinated to the Senior Indebtedness to at least the same extent as this Note.

Payment. Means a payment or transfer by the Company under the Plan to or for the benefit of a Participant.
