Performance Award

Performance Award. Has the meaning set forth in Section 3g.

Performance Award. Means the ICP Award and/or the LTIP Award.

Performance Award. Means an Award granted to a Participant under Sections 6(i) or 7.

Performance Award. Means either a Qualified Performance Award or a Non-Qualified Performance Award granted pursuant to Section 10, which may be denominated either in dollars or in a number of shares of Common Stock.

Performance Award. Means an Award denominated in either shares, share units or cash granted pursuant to Section 9.

Performance Award. Means a right, granted to a Participant under Section 6(i), to receive Awards or payments based upon performance criteria specified by the Committee.

Performance Award. Shall mean the award which is granted contingent upon the attainment of the performance objectives during the Performance Period, all as described more fully in Section 17.

Performance Award. A contractual right awarded pursuant to the Plan to receive a share of Common Stock (or its value in cash) or a cash-denominated award which right will be forfeitable by the Participant until the achievement of pre-established performance objectives over a performance period. After the right becomes nonforfeitable, any Common Stock or other consideration issued in respect of the Performance Award will itself be nonforfeitable upon issuance.

Performance Award. Means an Award subject to Performance Criteria. The Compensation Committee in its discretion may grant Performance Awards that are intended to qualify as exempt performance-based compensation under Section 162(m) of the Code and Performance Awards that are not intended to so qualify.

Performance Award. Means a right or other interest granted to a Grantee under Section 6(b)(v) of the Plan that may be payable in cash or may be denominated or payable in, valued in whole or in part by reference to, or otherwise based on, or related to, Stock and which is awarded upon the attainment of Performance Goals.
