Performance Award

Performance Award. A conditional right, granted to a Participant under Section 7, to receive cash, Stock or other Awards or payments as determined by the Committee, based upon performance criteria specified by the Committee, including, without limitation, an annual cash incentive based on performance in a performance period of up to, and including or exceeding, one fiscal year.

Performance Award. Shall mean (i) performance stock and performance cash awards, payment of which is subject to meeting performance conditions in a year starting at least 10 months after the date the award is granted, whether or not such awards are made pursuant to Section 6A of the 1993 Plan and (ii) any portion of the Annual Bonus subject to Section 6A of the 1993 Plan.

Performance Award. Shall mean the amount of any award to a Participant based on the Company's achievement of the Performance Goal(s) for a Performance Period.

Performance Award. Shall mean an Award, granted in the form of Company Stock, with respect to Company Stock or in cash, in each case intended to qualify as performance-based compensation pursuant to Section 162(m) of the Code, and granted to a Participant pursuant to Section 6.5 hereof.

Performance Award. An Award granted under Section 9, which is subject to the attainment of one or more Performance Goals during a Performance Period, as established by the Committee in its discretion.

Performance Award. Means a performance-based Award, which may be in the form of either Performance Shares or Performance Units.

Performance Award. A right to receive a payment equal to the value of a unit or other measure as determined by the Committee based on performance during a Performance Period

Performance Award. A right granted to a Participant under Section 6.03 to receive cash, Shares, other Awards or other property, the payment of which is contingent upon achievement of performance goals specified by the Committee.

Performance Award. A right, granted to an Eligible Person under Section 8(b) hereof, to receive Awards based upon performance criteria specified by the Committee or the Board for a performance period that is longer than one fiscal years of the Company.

Performance Award. A right to either a number of shares of Common Stock, their cash equivalent, or a combination thereof ("performance shares") or a cash amount ("performance units") determined (in either case) in accordance with Section 10
