Performance Shares

Performance Shares. The restricted shares of Stock granted under the terms and conditions of this Agreement.

Performance Shares. Means that number of shares arrived at by dividing the total number of Quarterly Installments of the Annual Payments under the Service Agreement received as of the date of any Qualifying Bayer Termination by 28, and multiplying the result by the total number of shares listed on EXHIBIT B attached hereto.

Performance Shares. Means shares of Common Stock granted pursuant to Paragraph 8 of this Plan.

Performance Shares. An Award granted pursuant to Article 8 of this Plan.

Performance Shares. Means a contingent award of a specified number of Performance Shares, with each Performance Share equivalent to one Share, a variable percentage of which may vest depending upon the extent of achievement of specified performance objectives during the applicable Performance Period.

Performance Shares. Shall mean contingent awards granted by the Committee in shares of Stock, cash or any combination of Stock and Stock and cash, with such awards only paid if the Company, an Affiliate, or Division specified by the Committee meets Performance Goals established by the Committee.

Performance Shares. Means Common Stock awarded by the Committee under Section 6 of the Plan, the delivery of which is subject to a Performance Period. 3 2.22.

Performance Shares. Means the right to receive Shares to the extent Performance Goals are achieved.

Performance Shares. Means an Award that grants Employee a conditional right to receive Shares upon vesting of the Award, pursuant to the terms and conditions of the Plan and this Agreement, subject to the attainment of the applicable Performance Measure and Employee's continued employment through the applicable Vesting Date. 2

Performance Shares. Means the shares of Stock granted under the terms and conditions of this Agreement which may be paid either in Stock or cash.
