Performance Shares

Performance Shares. Means the shares of Common Stock potentially deliverable to the Participant pursuant to this Award Agreement.

Performance Shares. Common Shares subject to the Award (including any Additional Shares) as to which the Restrictions have not lapsed and which have not been forfeited to the Company in accordance with the Grant Notice and these Award Terms.

Performance Shares. The units subject to the Award, which represent the conditional right to receive Common Shares in accordance with the Grant Notice and these Award Terms, unless and until such units become vested or are forfeited to the Company in accordance with the Grant Notice and these Award Terms

Performance Shares. The right to receive Shares (including Restricted Stock) to the extent Performance Goals are achieved.

Performance Shares. The right to receive Shares to the extent the Company and/or Participant achieves or partially achieves one or more Performance Goals over a period of time the Administrator designates.

Performance Shares. Up to 2,500,000 common shares of Pubco which may be issued to Mr. Moti Gross if the performance goals set out in section 2.15 are achieved while Mr. Gross is the CEO of Pubco

Performance Shares. An award granted under this Plan, in an amount determined by the Committee and specified in an award agreement, stated with reference to a specified number of shares of Stock, that entitles the holder to receive shares of stock, subject to the terms of the Plan, any award agreement, and any other terms and conditions established by the Committee.

Performance Shares. Means the 100,000 shares of common stock of PIH issuable under the Performance Shares Grant Agreement

Performance Shares. An Award of shares of Common Stock awarded to a Participant based on the achievement of Performance Goals during a Performance Period

Performance Shares. Means performance-based Stock Units (as defined in the Plan) granted under this Agreement and subject to the terms of this Agreement and the Plan. The target number of "Performance Shares" (the "Target ") granted under this Agreement is the number specified in the Grant Notice, with the actual number of Performance Shares earned to be 0% - 200% of the Target, based on Grantee's continued provision of Services to the Company and the level of attainment of the performance goals set forth in...
