Permitted Transferee

Permitted Transferee. An assignee, licensee or sublicensee of NovaMedica of any of the rights and licenses assigned to NovaMedica under the TTA in accordance with the terms of the TTA.

Permitted Transferee. A Family Member, a trust in which Family Members have more than fifty percent (50%) of the beneficial interest, a foundation in which Family Members (or the Participant) control the management of assets, and any other entity in which Family Members (or the Participant) own more than fifty percent (50%) of the voting interests.

Permitted Transferee. Any A/N Party (i) to whom Common Shares or Common Units are Transferred and (ii) who executes an A/N Assumption Instrument in connection with such Transfer.
