Public Offering

Public Offering. Shall have the meaning ascribed to such term in the Securities Holders Agreement.

Public Offering. Means a public offering and sale of common equity securities of the Company pursuant to an effective registration statement under the Securities Act; provided that a Public Offering shall not include an offering made in connection with a business acquisition or combination or an employee benefit plan.

Public Offering. The term "Public Offering" shall have the meaning set forth in the Securityholders Agreement.

Public Offering. Shall mean any Offering that is registered with the Securities and Exchange Commission pursuant to the Securities Act.

Public Offering. Means an underwritten public offering and sale, registered under the 1933 Act, of shares of the Company's Common Stock or Hillman's Common Stock.
