Example Definitions of "Public Offering"
Public Offering. An underwritten public offering of the Shares pursuant to an effective registration statement under the Securities Act or under similar regulations in Hong Kong or other jurisdictions
Public Offering. Means any sale of shares of Company Common Stock to the public pursuant to a public offering registered (other than a registration effected solely to implement an employee benefit plan or a transaction to which Rule 145 is applicable) under the Securities Act.
Public Offering. The sale in the underwritten public offering managed by Roth Capital Partners registered under the Securities Act of Shares under Registration Statement Number 333-227800.
Public Offering. Means the contemplated underwritten public offering of Common Stock pursuant to the registration statement on Form S-1 (File No. 333-226840), filed with the Commission on August 14, 2018
Public Offering. Any sale or distribution by Pubco and/or holders of Registrable Securities to the public of Common Stock pursuant to an offering registered under the Securities Act.

Any bona fide, firm commitment underwritten offering by Buyer of its capital stock or equity securities to the public pursuant to an effective registration statement under the Securities Act of 1933, as then in effect, or any comparable statement under any similar federal statute then in force which results in net proceeds in excess of $20,000,000 and results in a market capitalization of Buyer of not less than $50,000,000.
Public Offering. Means the sale in a bona fide underwritten public offering registered under the Securities Act of shares of the Company's equity securities approved by the Board.
