Qualified Termination

Qualified Termination. Shall have the same definition as under the Marathon Petroleum Corporation Amended and Restated Executive Change in Control Severance Benefits Plan, as in effect on the Grant Date, and such definition and associated terms are hereby incorporated into this Award Agreement by reference.

Qualified Termination. Means any termination of a Participant's Continuous Service during the two-year period commencing on a Change in Control (a) by the Company, any of its Subsidiaries or the resulting entity in connection with a Change in Control other than for Cause, or (b) by the Participant for Good Reason.

Qualified Termination. A termination of the Executive's employment either (i) by a Company Group member without Cause (excluding by reason of Executive's death or Disability) or (ii) by the Executive for Good Reason, in either case, during the Change in Control Period (a "CIC Qualified Termination") or outside of the Change in Control Period (a "Non-CIC Qualified Termination").

Qualified Termination. A termination of the Participant's employment by the Company (i) without Cause (including a job loss due to any reduction in the work force, but excluding termination of employment due to the Participant's death or Disability), or (ii) by the Participant for Good Reason. Notwithstanding the preceding sentence, in no event shall a Participant's termination of employment with the Company constitute a Qualified Termination if such termination occurs as a result of or in connection with a Business... Qualified Termination. A termination of the Executive's employment with the Company during the Protected Period (a) by the Company for no reason, or for any reason other than for Cause, death or Disability or (b) by the Executive for Good Reason.

Qualified Termination. Means any termination of a Participant's employment: (i) by the Company other than for Cause, Disability or death; or (ii) by a Participant for Good Reason.

Qualified Termination. Means any termination of a Participant's Continuous Service during the two-year period commencing on the date of a Change of Control (i) by the Company, any of its Subsidiaries or the entity resulting from such Change of Control other than for Cause (and not as a result of the Participant's disability or death), or (ii) if applicable, by the Participant for Good Reason.

Qualified Termination. Means a termination of the Grantee's employment (A) by the Company for no reason, or for any reason other than for Cause, death or Disability, (B) by the Grantee for Good Reason, or (C) as a result of the Grantee's death or Disability.

Qualified Termination. Termination of a Participant's employment with Energen and all Subsidiaries under any one of the following circumstances: (1) A result of Participant's retirement under the Energen Corporation Retirement Income Plan, as amended from time to time. (2) A result of the Participant's death or disability. (3) Expressly agreed in writing by Energen and/or a Subsidiary to constitute a Qualified Termination for purposes of this Plan.

Qualified Termination. Any termination of a Participant's employment during the Potential Change in Control Protection Period: (i) by the Company, any of its Subsidiaries or the resulting entity without Cause, or (ii) solely with respect to a Participant who is a party to a Change-in-Control Retention Agreement with the Company or a Subsidiary immediately prior to a Potential Change in Control, by the Participant for Good Reason
