Qualified Termination. Qualified Termination. (c) "Qualified Termination" means a termination of Executive's employment by the Company without Cause or by Executive for Good Reason. A Qualified Termination shall not include any termination (i) due to Executive's death or disability; (ii) by Fairmount for Cause; or (iii) as a result of Executive's resignation or retirement without Good Reason.
