Example Definitions of "Qualified Termination"
Qualified Termination. A termination of the Executive's employment (i) either (A) by a Company Group member without Cause (including due to the Executive's death or Disability) or (B) by the Executive for Good Reason, in either case, during the Change of Control Period (a "COC Qualified Termination") or (ii) outside of the Change of Control Period by a Company Group member without Cause (including due to the Executive's death or Disability) (a "Non-COC Qualified Termination").
Qualified Termination. Subject to Section 11 of this Plan, within 24 full calendar months after a Change of Control as defined in Section 2(h), a termination of the Participant's employment by the Company without Cause (and not as a result of the Participant's death or Disability), or by the Participant for Good Reason.
