Salary

Salary. Means the Executive's annual base salary as in effect immediately prior to the Executive's Qualifying Termination (or if the termination is due to a resignation for Good Reason based on a material reduction in base salary, then the Executive's annual base salary in effect immediately prior to the reduction) or, if the Executive's Qualifying Termination is a Qualifying CIC Termination and the amount is greater, at the level in effect immediately prior to the Change in Control.

Salary. Employee's base salary at the time of reference exclusive of any and all bonuses, incentives and fringe benefits of any kind. Employee's Salary as of the date of this Agreement is $288,000 per year.

Salary. Executive's annual base salary, which is $359,427.12 as of the date of this Agreement, as such amount may be changed and in effect from time to time. Notwithstanding the foregoing, Salary shall be determined without regard to any change that would constitute a Good Reason Event (as defined in Section 1(l)).
