Salary

Salary. Shall replace the defined term "Base Salary" throughout the Employment Agreement.

Salary. The Executive's base salary established annually by the Board of Directors of the Employer, prior to any reduction of such salary pursuant to any contribution to a tax-qualified plan under Section 401(k) of the Code.

Salary. Shall mean the an amount equal to twelve times the highest monthly base salary paid or payable, including any base salary which has been earned but deferred, to the Executive by the Company in respect of the 12-month period immediately preceding the date of a Change in Control.

Salary. Means an Eligible Employee's ‘base annual salary before reduction for (i) compensation voluntarily deferred or contributed by the Eligible Employee under qualified or nonqualified plans of SAFECO or any Subsidiary, and (ii) amounts not included in the Eligible Employee's gross income under Code Sections 125, 132(f), 402(e), and 402(h) pursuant to plans established by SAFECO or any Subsidiary.

Salary. Shall mean, at any relevant time, the Employee's regular annual salary from the Company, excluding shift premiums, overtime, bonuses or any other allowance.

Salary. Means, with respect to any Manager, such Manager's annual base salary rate at the beginning of any Plan Year.

Salary. Means base salary earned for each Performance Year determined in accordance with principles employed for reporting salary to the shareholders of Marshall & Ilsley Corporation in the annual Proxy Statement.

Salary. Means base salary actually earned by a Participant during the applicable Fiscal Year.

Salary. Shall be Executive's annual base compensation level, which is $ as of the date of this Agreement, but may change from time to time.

Salary. A Participant's annual base wages paid during the Plan Year. Annual base pay does not include salary adjustments or other payments made because of overseas employment, payment made from incentive plans, ad hoc bonuses, commission bonus payments, relocation expenses or any payment made from any employee benefit plan.
