Securities. Means the Offering Shares. -2-

Securities. Shall mean (i) any common stock, preferred stock, ownership interest, or other security of Company; (ii) any security convertible, with or without consideration, into any item in (i) or other security (including any option to purchase such a convertible security) of Company; (Hi) any security carrying any warrant or right to subscribe to or purchase any common stock, preferred stock, ownership interest, or other security of Company; or (iv) any such warrant or right.

Securities. Shall have the meaning set forth in the preamble. 4 "Shelf Registration" shall mean a registration effected pursuant to Section 2(b) hereof.

Securities. Means the stocks, bonds and other instruments and securities, whether or not held in trust or in any custody, subcustody, safekeeping, investment management accounts or other accounts of the undersigned with the Bank or any other Intermediary and securities entitlements with respect to the foregoing.

Securities. The Common Shares, the Warrants and the Common Shares to be issued on the exercise of the Warrants;

Securities. Means, collectively, the Preferred Stock and the Shares.
