Service

Service. The term "Service" means the Participant's services as a Non-Employee Director.

A change in the capacity in which a Participant renders service to the Company or a Subsidiary as an Employee, Director, or Third Party Service Provider, so long as there is no interruption or termination of the Participant's service with the Company or a Subsidiary, shall not terminate such Participant's Service, unless the Committee... otherwise determines in its sole discretion. A Participant's Service will be deemed to have terminated either upon an actual termination of Service or upon the Subsidiary for which the Participant performs Service ceasing to be a subsidiary of the Company (unless the Participant continues in the Service of the Company or another Subsidiary). Service. Means the provision of services in the capacity of (i) an employee of the Company or its Subsidiaries, (ii) a non-employee member of the Company's Board or the board of directors of a Subsidiary, or (iii) a consultant or other independent advisor to the Company or its Subsidiaries.
