Shares. Means the shares of Common Stock issued or issuable to the Purchasers upon conversion of the Convertible Notes, including in connection with an Early Conversion Payment (as defined in the Indenture), or in the payment of interest on the Convertible Notes, including any such shares issued as Interest Shares
