Shares. The Unit Shares issued to the Purchasers upon the conversion of the Notes into Units, the Unit Warrant Shares issued to Purchasers upon exercise of Unit Warrants, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing

Shares. Means 1,415,400 shares of Common Stock issued to the Investor pursuant to the Purchase Agreement.
