Shares

Shares. Means the shares of Common Stock issuable upon exercise of the Convertible Note.

Shares. Shall mean, collectively, Cablevision Shares and Rainbow Media Holdings Shares.

Shares. Shall mean all HTM Shares, SMTC Shares, Pensar Shares, Qualtron Shares and Management Shares.

Shares. Shall mean TriZetto Common Stock and any other shares of common stock of TriZetto.

Shares. Means the Closing Shares, the 24 Month Shares, the 36 Month Shares and the Warrant Shares (each as defined in the Purchase Agreement) actually issued to AOL pursuant to the Purchase Agreement and the Warrant (as defined in the Purchase Agreement); provided, that, for purposes of this -------- ---- Agreement no such securities shall be "Shares" until their respective Transfer Dates (as defined in the Purchase Agreement).

Shares. Shall have the meaning specified in Subsection 1.2 of the Purchase Agreement.

Shares. Means and includes any and all issued and outstanding ------ shares of capital stock of the Company held beneficially or of record by the Shareholders, but Shares will not include options or warrants to acquire shares or instruments convertible into shares.

Shares. Means the common shares of the Company, par value (U.S.) $.01 per share.

Shares. Means the Common Shares, Conversion Stock, the Series D Preferred Stock and the Series C Preferred Shares.

Shares. Means shares of (i) any Common Stock purchased or otherwise acquired by any Shareholder, (ii) any Common Stock or other equity securities issued or issuable directly or indirectly with respect to the Common Stock by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization, and (iii) any other class or series of common stock of the Company held by a Shareholder.
