Shares

Shares. Shall mean all shares of Common Stock or any other Capital Stock beneficially owned by the Stockholders at the time of execution of this Agreement or thereafter acquired by the Stockholders.

Shares. Means any shares of the $.01 par valve common stock of the Company ------ received by NEXGEN in connection with the August 11, 2003 Asset Purchase Agreement among The Bio Balance Corp., the Company and NEXGEN.

Shares. Shall mean Put Shares and Warrant Shares.

Shares. Shall mean the common stock, $.01 par value, of Company and any capital stock of Company or any successor corporation into which such common stock may hereafter be changed.

Shares. Shall mean the shares of Common Stock issuable upon exercise of a Warrant.

Shares. Shall mean (i) any shares of Common Stock, (ii) any shares of ------ Series A Stock, (iii) any shares of Series B Stock, (iv) any shares of Series C Stock, (v) any shares of any other capital stock of the Company, and (vi) any securities convertible into, or exchangeable or exercisable for, any of the foregoing, in each case, at any time outstanding.

Shares. Means common shares, $.01 par value per share, of the Company.

Shares. Shall mean 700,000 shares of Company Common Stock retained by Brokaw following completion of the transactions contemplated by the Asset Purchase Agreement.

Shares. Shall mean: (i) all securities of netGuru (including all shares of preferred stock, common stock and all options, warrants and other rights to acquire shares of Common Stock ("netGuru Options")) beneficially owned by Stockholder as of the date of this Agreement, and (ii) all additional securities of netGuru (including all additional options, warrants and other rights to acquire shares of common stock) of which Stockholder acquires beneficial ownership during the period commencing with the... execution and delivery of this Agreement until the Expiration Date. Shares. Means (i) shares of Series C Preferred Stock, (ii) shares of Series B-1 Preferred Stock, (iii) shares of Series B Preferred Stock; (iv) shares of Series A-1 Preferred Stock; and (v) shares of Series A Preferred Stock.
