Shares. Collectively, the Ordinary Shares, the Founder Shares, and the Ordinary Shares underlying the Private Placement Units

Shares. Means shares of Capital Stock owned by a Stockholder (or any transferee, including a Permitted Transferee) or issued to a Stockholder (or any transferee, including a Permitted Transferee) after the date hereof (including, without limitation, in connection with any stock split, stock dividend, recapitalization, reorganization, or the like).

Shares. Means the shares of Common Stock which may be issued upon conversion of the Series A Preferred Stock held by Purchasers

Shares. Means (i) all shares of Common Stock owned, beneficially or of record, by a Shareholder as of the date hereof, and (ii) all additional shares of Common Stock acquired by a Shareholder, beneficially or of record, during the period commencing with the execution and delivery of this Agreement and expiring on the Expiration Date. For avoidance of doubt, "Shares" shall include any shares of Common Stock owned indirectly by a Shareholder through the KSOP.
