Specified Employee

Specified Employee. Generally means an employee who is (i) an officer of the Company or a Related Entity having annual compensation greater than $140,000 (with certain adjustments for inflation after 2006), (ii) a five-percent owner of the Company or a Related Entity or (iii) a one-percent owner of the Company or a Related Entity having annual compensation greater than $150,000. Specified Employee. The meaning set forth in Section 409A

Specified Employee. Shall have the meaning specified by Section 409A and the rules and regulations thereunder, as such meaning may be modified or amended from time to time.

Specified Employee. A "specified employee" within the meaning of that term under Section 409A(a)(2)(B) of the Code and using the identification methodology selected by the Company from time to time in accordance therewith, or if none, the default methodology set forth therein.

Specified Employee. Means a Participant who is a "specified employee" within the meaning of Treas. Reg. §1.409A-1(i), as determined in a uniform manner by the Company or its duly authorized representative for purposes of this Plan and all other nonqualified deferred compensation plans maintained by the Company and its Affiliates.

For purposes of this Agreement, an employee is a key employee if the employee meets the requirements of Code Section 4160) (1) (A) (i), (ii), or (Hi) (applied in accordance with the regulations thereunder and disregarding section 4160) (5)) at any time during the 12-month period ending on December 31 (the...
