Stock Unit

Stock Unit. Means a restricted stock unit, which is a unit of measurement equivalent to one share of Common Stock but with none of the attendant rights of a holder of a share of Common Stock until a share of Common Stock is ultimately distributed in payment of the obligation (other than the right to receive dividend equivalent amounts in accordance with Section 4 hereof). Upon distribution, all vested Stock Units shall be paid solely in the form of shares of Common Stock.

Stock Unit. Means a bookkeeping entry representing the equivalent of shares of Stock, awarded to a Grantee pursuant to SECTION 11 hereof.

Stock Unit. Means a unit equal to one share of Common Stock (as determined by the Committee) (as adjusted pursuant to Paragraph III.6 of the Directors Deferred Compensation Plan) granted to a Nonemployee Director.

Stock Unit. Means a non-voting unit of measurement which is deemed for bookkeeping purposes to be equivalent to one outstanding share of the Corporation's Common Stock (subject to adjustment) solely for purposes of this Plan.

Stock Unit. Means a right to receive, in cash and/or Shares as determined by the Committee, the Fair Market Value of a Share, subject to such restrictions on transfer, vesting conditions and other restrictions or limitations as may be set forth in this Plan and the applicable Agreement.

Stock Unit. Shall mean a non-voting unit of measurement, which is deemed solely for bookkeeping purposes under this Plan to be equivalent to one outstanding share of Common Stock (subject to adjustment pursuant to Section 6).

Stock Unit. Means an award giving the right to receive shares of Common Stock granted under Section 7(a) below.

Stock Unit. Means a Stock Unit granted pursuant to the Guilford Pharmaceuticals Inc. 2002 Stock Award and Incentive Plan.

Stock Unit. Means a phantom unit representing a share of Stock.

Stock Unit. Shall mean a Celera Stock Unit and/or a Applied Biosystems Stock Unit.
