Substantial Completion. The date on which the Rail Company's primary engineer of record, ___________ (or a successor primary engineer of record), provides an AIA Certificate of Substantial Completion certifying to the Authority that all Improvements reasonably required to be constructed for the operation of the Rail Project on the Rail Line Easement, together with all Critical Rail Corridor Improvements are substantially complete so as to permit use, operation, and occupancy thereof

Substantial Completion.
