Termination Without Cause. Means termination of Executive's employment with the Company (i) by the Company (a) for any reason other than those reasons expressly set forth in the definition of "Cause," or (b) for no reason at all; or (ii) by Executive for Good Reason within thirty (30) days following the Company's failure to cure the event or events that constitute Good Reason; provided, however, that Executive's Separation from Service in connection with a Change in Control shall not constitute a Termination Without... Termination Without Cause. A Separation as a result of a termination of your employment by the Company without Cause.
