Transfer

Transfer. Shall mean any sale, transfer, pledge, hypothecation or other disposition, whether direct or indirect, whether or not for value, including any short sale; provided, that a "Transfer" shall not include the -------- purchase of a put option after the fifth (5th) trading day following the twenty-fifth (25th) day after the IPO Date to sell Covered Shares at the time such shares are free from the Transfer Restrictions.

Transfer. Shall be construed broadly and shall include any transfer (whether voluntary, involuntary or by operation of law) of securities or any interest therein, including without limitation, by way of issuance, sale, participation, pledge, gift, bequeath, intestate transfer, distribution, liquidation, merger or consolidation.

Transfer. For the purpose of this Agreement, the term "TRANSFER" shall include any sale, assignment, encumbrance, hypothecation or pledge of any of the Co-Sale Stock.
