Transfer

Transfer. Shall mean any transfer, sale, assignment, pledge, encumbrance or other disposition (irrespective of whether any of the foregoing are effected, with or without consideration, voluntarily or involuntarily, by operation of law or otherwise, or whether INTER VIVOS or upon death).

Transfer. Means any action or intended action to sell, exchange, barter, assign, transfer, give, or otherwise voluntarily or involuntarily dispose of, or any action or intended action to pledge, escrow, hypothecate, mortgage, grant or create a security interest in or lien upon, or otherwise voluntarily or involuntarily encumber such stock (or any portion thereof or interest therein).

Transfer. Means (i) when used as a noun: any direct or indirect transfer, sale, assignment, pledge, hypothecation, encumbrance or other disposition and (ii) when used as a verb: to directly or indirectly transfer, sell, assign, pledge, hypothecate, encumber, or otherwise dispose of.

Transfer. Means any conveyance, transfer (including, without limitation, -------- any transfer of any direct or indirect legal or beneficial interest (including, without limitation, any profits interest in the Issuer)), sale, Lien, assignment, pledge, grant of a security interest or hypothecation, whether by law or otherwise, of, on or affecting the Pledged Collateral.
