Valuation Date

Valuation Date. The date as of which the Consideration is determined pursuant to the Valuation or agreement, as applicable, in accordance with Section 2(b) hereof

Valuation Date. Shall mean each January 1st, and the last day of the calendar month immediately preceding a Change in Control.

Valuation Date. Each of (i) the Initial Valuation Date; (ii) the last business day of each calendar quarter after the Initial Valuation Date until all Award Class B Units have either become Earned Class B Units or have been forfeited pursuant to Section 4 of this Agreement and (iii) the date of a Change of Control if any of the Award Class B Units have not yet become Earned Class B Units for any reason

Valuation Date. The date of the Director's Separation from Service.

Valuation Date. Means the earlier of (a) the Measurement Date and (b) the date upon which a Change in Control shall occur.

Valuation Date. Is any date designated by the Committee on which the fair market value of the Accounts of Participants is determined. For purposes of determining the time of payment of any distribution from this Plan, Valuation Date shall mean the last day of each calendar month during the Plan Year.

Valuation Date. Each day the New York Stock Exchange is open for trading, unless otherwise determined by the Administrator.

Valuation Date. Means each December 31

Valuation Date. The last business day of each Plan Year, and such other dates as the Committee, in its discretion, designates as Valuation Dates.
