Voting Shares
Voting Shares. All securities of Parent beneficially owned (as such term is defined in Rule 13d-3 under the Exchange Act, but excluding shares of stock underlying unexercised options or warrants) ("Beneficially Owned" or "Beneficial Ownership") by each Voting Party, including any and all securities of Parent acquired and held in such capacity subsequent to the date hereof.
Voting Shares. Means the ownership interest in Management held by KMGP, the rights and obligations of which are more specifically set forth in the Management LLC Agreement.
Voting Shares. Any and all shares of Common Stock, Preferred Stock and/or shares of capital stock of the Company, by whatever name called, which carry voting rights (including voting rights which arise by reason of default) which are now owned or subsequently acquired by a Stockholder, however acquired, including without limitation shares of capital stock acquired pursuant to stock splits, stock dividends combinations and other similar events affecting such shares.
