Voting Shares

Voting Shares. All securities of Parent beneficially owned (as such term is defined in Rule 13d-3 under the Exchange Act, but excluding shares of stock underlying unexercised options or warrants) ("Beneficially Owned" or "Beneficial Ownership") by each Voting Party, including any and all securities of Parent acquired and held in such capacity subsequent to the date hereof.

Voting Shares. Shares of any class or classes having general voting power under ordinary circumstances, in the absence of contingencies, to elect the directors (or similar function) of an Enterprise.

Voting Shares. With respect to any corporation, limited liability company, partnership, trust or other entity or enterprise, securities entitled to vote generally in the election of directors (or similar governing bodies) of such corporation, limited liability company, partnership, trust or other entity or enterprise

Voting Shares. Means (i) all equity securities of the Company Beneficially Owned by the Shareholder or the Hughes Parties, respectively, as of the date of this Agreement less any such shares disposed of by the Shareholder after the Effective Date in compliance with Section 8.10 and (ii) all additional equity securities of the Company of which the Shareholder or the Hughes Parties may acquire Beneficial Ownership during the period from the date of this Agreement through the Voting Agreement Termination Date.
