Voting Shares

Voting Shares. All securities of Parent beneficially owned (as such term is defined in Rule 13d-3 under the Exchange Act, but excluding shares of stock underlying unexercised options or warrants) ("Beneficially Owned" or "Beneficial Ownership") by each Voting Party, including any and all securities of Parent acquired and held in such capacity subsequent to the date hereof.

Voting Shares. Means the ownership interest in Management held by KMGP, the rights and obligations of which are more specifically set forth in the Management LLC Agreement.

Voting Shares. Any and all shares of Common Stock, Preferred Stock and/or shares of capital stock of the Company, by whatever name called, which carry voting rights (including voting rights which arise by reason of default) which are now owned or subsequently acquired by a Stockholder, however acquired, including without limitation shares of capital stock acquired pursuant to stock splits, stock dividends combinations and other similar events affecting such shares.

Voting Shares. Shares of any class or classes having general voting power under ordinary circumstances, in the absence of contingencies, to elect the directors (or similar function) of an Enterprise.

Voting Shares. (i) with respect to each Stockholder of Company, such Stockholder's Shares, not including Shares that are the subject of unexercised options, warrants, rights or convertible securities, and (ii) with respect to each Stockholder of Parent, such Stockholder's Shares, not including Shares that are the subject of unexercised options, warrants, rights or convertible securities

Voting Shares. With respect to any corporation, limited liability company, partnership, trust or other entity or enterprise, securities entitled to vote generally in the election of directors (or similar governing bodies) of such corporation, limited liability company, partnership, trust or other entity or enterprise

Voting Shares. Means, as applied to the Equity Capital of any corporation, Equity Capital of any class or classes (however designated) having ordinary voting power for the election of a majority of the members of the Board of Directors (or other governing body) of such corporation, other than Equity Capital having such power only by reason of the happening of a contingency.

Voting Shares. Shall mean all securities of a corporation entitling the holders thereof to vote in an annual election of Directors (without consideration of the rights of any class of stock other than the common stock of the corporation to elect directors by a separate class vote).

Voting Shares. Means with respect to any party, any Common Stock, any Series A Preferred and any other shares of capital stock or other equity security owned by such party at the applicable time; or with respect to which such party has the power or authority to vote. Capitalized terms used and not otherwise defined in this Agreement shall have the meanings assigned to them in the USS Stock Purchase Agreement.

Voting Shares. Means the Ordinary Shares and the Convertible Shares, and any other securities of the Company that are entitled to vote in the election of the Board.
