Example Definitions of "Voting Shares"
Voting Shares. All securities of Parent beneficially owned (as such term is defined in Rule 13d-3 under the Exchange Act, but excluding shares of stock underlying unexercised options or warrants) ("Beneficially Owned" or "Beneficial Ownership") by each Voting Party, including any and all securities of Parent acquired and held in such capacity subsequent to the date hereof.
