Example Definitions of "VWAP"
VWAP. Means in respect of an Accelerated Purchase Date, the volume weighted average price of the Common Stock, as reported on the Principal Market or by another reputable source such as Bloomberg, L.P. on such Accelerated Purchase Date.
VWAP. The volume weighted average trading price of the Common Stock, calculated by dividing the total value by the total volume of Common Stock traded for the relevant period

VWAP. As of any date, the volume weighted average price for Common Stock on Nasdaq (or other national exchange on which the Common Stock is then primarily traded) during the period beginning at 9:30 a.m., New York time, and ending at 4:00 p.m., New York time, as reported by Bloomberg through its VAP function (set to 09:30 start time and 16:00 end time).

(based on a Trading Day from 9:30 a.m. (New York City time) to 4:00 p.m. (New York City time)), (b) if the Common Stock is regularly quoted on an automated quotation system (including applicable tiers of the over-the-counter market maintained by OTC Markets Group, Inc.) or by a recognized securities dealer, the volume weighted average price of the Common Stock for such date (or the nearest preceding date) on the applicable OTC Markets tier or as quoted by such securities dealer, or (c) if there is no active public market for the Common Stock, then as determined in accordance with Section 1.1 above. VWAP. The 30-day volume-weighted average price of the Common Stock on the Trading Market.
