Affiliates

Affiliates. Means all persons and entities directly or indirectly controlling, controlled by or under common control with the Company, where control may be by management authority, equity interest or otherwise; provided, however, that Affiliates does not include any portfolio company of any investment fund associated with Bain Capital Private Equity, L.P. other than the Company and its direct and indirect parents and subsidiaries.

Affiliates. The parent, subsidiary and affiliated companies of the Company, including without limitation, Las Vegas Sands Corp.; Venetian Macau Limited; Venetian Cotai Limited; Venetian Casino Resort, LLC; World Sourcing Services Limited; Venetian Marketing Services Limited; and Venetian Venture Development, LLC.

Affiliates. All persons and entities directly or indirectly controlling, controlled by or under common control with any of the Company or Parent, where control may be by management authority, equity interest or otherwise; provided that, any shareholder or other equity holder of Parent shall not be deemed an Affiliate of Parent or the Company for purposes of this Agreement unless such holder owns more than 50% of the outstanding voting power of Parent.

Affiliates. For purposes of this Agreement, the term "affiliates" shall mean, with respect the Company, any person or entity which directly or indirectly controls, is controlled by or is under common control with the Company. For purposes of the immediately preceding sentence, the term "control" (including, with correlative meanings, the terms "controlling," "controlled by" and "under common control with"), as used with respect to the Company, means the possession, directly or indirectly, of the power to... direct or cause the direction of the management and policies of the Company, whether through ownership of voting securities, by contract or otherwise.
