Agent

Agent. Means any person who (i) is or was a director, officer, employee, or other agent of the Company or a Subsidiary of the Company, (ii) is or was serving at the request of, for the convenience of, or to represent the "interest of the Company" or a Subsidiary of the Company as a director, officer, trustee, partner, employee, fiduciary or agent of another foreign or domestic corporation, partnership, limited liability company, joint venture, trust, foundation, association, organization or other... legal entity or enterprise or (iii) is or was serving in any capacity with respect to any employee, fiduciary benefits plans of the Company or any Subsidiary. For purposes of subsection (ii) of this Section 1(a), if Indemnitee is serving or has served as a director, officer, trustee, partner, employee, fiduciary or agent of a Subsidiary, Indemnitee shall be deemed to be serving at the request of the Company. Agent. Shall mean ING Capital LLC, as Agent for the credit parties under the ING Loan Documents, or any other Person appointed by such credit parties as administrative agent for purposes of the Senior Credit Agreement and this Agreement.

Agent. Shall mean, with respect to Indemnitee, Indemnitee in his or her capacity as an officer, director, employee or agent of the Company Group and in his or her capacity as an officer, director, employee or agent of any other Entity for which he or she is serving in such capacity or capacities as the request of the Company. Agent. And "Agents" have the meaning specified therefor in the recitals to this Agreement.

Agent. Bank of America, N.A. (formerly known as Bank of America National Trust and Savings Association), as agent for the Banks under the Credit Agreement.

Agent. General Electric Capital Corporation, as agent for the Lenders under the Credit Agreement, and its successors and assigns.

Agent. Is defined in the second introductory paragraph of this Note.

Agent. NATIXIS a company incorporated in France acting through its London Branch at 25 Dowgate Hill, London EC4R 2YA in its capacity as agent for the Lenders (in that capacity, the "Agent")

Agent. Shall mean Black Diamond Commercial Finance, L.L.C., as Agent for the Senior Lenders, or any other Person appointed by the holders of the Senior Debt as administrative agent for purposes of the Senior Debt Documents and this Agreement.

Agent. Means Bear Stearns Corporate Lending Inc. in its capacity as the "Agent" under the Credit Agreement, together with any successors and permitted assigns.
