Base Salary

Base Salary. Shall mean (i) with respect to Section 3(a) hereof, Executive's annual base salary at the rate in effect on the date of a Change in Control, or if greater, the rate in effect immediately prior to Executive's termination of employment with Employer, and (ii) with respect to Section 3(b) hereof, Executive's annual base salary at the rate in effect immediately prior to Executive's termination of employment with Employer.

Base Salary. References to "Base Salary" shall mean the Executive's annual base salary as then in effect.

Base Salary. A Participant's actual annualized gross salary rate (currently known as regular pay) in effect on the Determination Date

Base Salary. The annual base salary as in effect at the time of determination of a Triggering Event, less applicable withholding taxes, and exclusive of all bonuses, incentives, commissions, expense reimbursements, stock options or other equity awards or any other extraordinary payments.

Base Salary. Employee's annualized base salary as in effect from time to time as reflected in the Company's regular payroll records. Base Salary shall not include any portion of any bonus compensation for time periods which have not concluded as of the Date of Termination

Base Salary. Base Salary. Executive's base rate of pay as of a specified date.

Base Salary. The Participant's annual rate of base salary in effect as of the Date of Termination, but, solely with respect to a Group I Participant, prior to any reduction to Base Salary that would qualify as a Good Reason termination event
