Base Salary

Base Salary. Means the Executive's annual salary as in effect (1) at the time the Executive's service is terminated hereunder, (2) at the time of a Change in Control, or (3) immediately prior a salary reduction giving the Executive "Good Reason" to terminate his employment, as applicable. If more than one of (A), (B) or (C) is applicable, Base Salary shall mean the annual salary determined under the standard producing the highest Base Salary.

Base Salary. The Executive's annual base salary, exclusive of any bonus or other benefits he may receive.

Base Salary. Means an amount equal to twelve (12) times Employee's monthly Company salary for the last full month preceding the Change of Control.

Base Salary does not include bonuses, commissions, cost of living allowances, cash value of perquisites or income from stock options, stock grants or other incentives.

Base Salary. An annual base salary (the "Base Salary") of (a) Two Hundred Sixty Thousand Dollars ($260,000) for the period commencing on the date hereof and ending on the first anniversary of the date hereof and (b) Two Hundred Eighty Thousand Dollars ($280,000) for the period commencing on the day after the first anniversary of the date hereof and ending on the Agreement Termination Date, which Base Salary shall be paid in accordance with Employer's payroll procedures. Base Salary. With respect to any Participant, shall mean the Participant's base rate of pay during the Incentive Period, excluding any overtime, regional differentials, equity-based compensation, any payments under this Plan, any other bonuses and any other special payments

Base Salary. Participant's annual base pay (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation), at the rate in effect during the last regularly scheduled payroll period immediately preceding the Participant's Covered Termination date.
