Example Definitions of "Committee"
Committee. Means a Compensation Committee of two or more Non-Employee Directors, appointed by the Board, to administer and interpret this Plan.
Committee. Has the meaning defined in the Plan.
Committee. Means the committee of the Board, whose membership shall be determined as provided under Section 3 hereof, appointed to administer the Plan.
Committee. Means the Compensation Committee of the Board. 2
Committee. Shall mean a committee consisting of not fewer than two members of the Board duly elected by the Board to administer this Plan in accordance with Section 3(a) hereof.
Committee. Means a committee appointed by the Board or, if no such committee is appointed, the Board itself. Such committee or the Board, as the case may be, shall be responsible for the administration of the Plan, as provided in section 5 of the Plan.
Committee. Means a committee consisting of two or more non-employee members of the Board who are appointed by the Board to administer the Plan and to perform the functions set forth herein.
Committee. Means the Compensation Committee of the Board, or such other Board committee as may be designated by the Board to administer the Plan. The Committee shall consist solely of two or more directors of the Company.
Committee. The Compensation/Options Committee of the Board, or such other committee of the Board that is designated by the Board to administer the Plan. The Committee shall be constituted to permit the Plan to comply with Rule 16b-3 promulgated under the Securities Exchange Act of 1934 or any successor rule and shall initially consist of not less than three members of the Board, all of whom shall be "disinterested persons" within the meaning of said Rule 16b-3.
Committee. Means the Compensation/Options Committee of the Board, or such other committee of the Board that is designated by the Board to administer the Plan. In the event that one or more members of the Committee do not comply with the eligibility requirements of Rule 16b-3 or Code Section 162(m), then the entire Board may serve as the Committee for purposes of this Plan.
