Committee

Committee. Means the Compensation Committee, the Stock Option Committee or such other committee appointed by the Board consisting solely of two or more Outside Directors or the Board.

Committee. Shall mean the Compensation Committee of the Board of Directors or such other committee as the Board of Directors shall appoint from time to time to administer the Plan.

Committee. Means the Compensation Committee designated by the Board which shall consist of two (2) or more members of the Board who shall, in the discretion of the Board, consist solely of two (2) or more Outside Directors, in accordance with Section 162(m) of the Code, and/or solely of two (2) or more Non-Employee Directors, in accordance with Rule 16b-3.

Committee. Means those Directors on the Compensation and Executive Personnel Committee of the Board who qualify as both "non-employee Directors" under Rule 16b-3 and "outside Directors" under Section 162(m) of the Code. The Board will ensure at least two members are qualified to administer the Plan at all times.

Committee. Means the Committee of the Board appointed pursuant to paragraph 4 hereof to administer the Restated 1991 Plan and to perform the functions set forth herein; the composition of the Committee shall at all times satisfy the applicable "disinterested administration" requirements of Rule 16b-3 under the Exchange Act, or any successor thereto.

Committee. Shall mean the Committee appointed by the Board of Directors in accordance with paragraph (a) of Section 4 of the Plan, if one is appointed. The Committee members shall not be required to be Board members.

Committee. Shall mean the Compensation Committee of the Board or any other directors of NHC designated as the Committee. Any function of the Committee may be delegated to the Administrator.

Committee. Means the Stock Option and Restricted Stock Committee of the Board of Directors.

Committee. Means the Executive Compensation Committee of the Company's Board of Directors (the "Board") or any successor to the Committee.

Committee. Means the compensation committee appointed by the Board. Such Committee shall be responsible for the administration of the Plan, as provided in Section 5 of the Plan.
