Committee

Committee. Means the Compensation and Organization Committee of the --------- Board, or any other committee of the Board that has, on the date of termination, the duties and responsibilities delegated to the Compensation and Organization Committee as of the Effective Date.

Committee. Shall mean a committee of the Board.

Committee. Shall mean two or more Non-Employee Directors designated by the Board of Directors of the Company as the Committee.

Committee. Means the Compensation Committee of the Board. The Committee shall have at least two members, each of whom shall be a "non-employee director" as defined in Rule 16b-3 under the Exchange Act and an "outside director" as defined in Section 162(m) of the Code and the regulations thereunder, and, if applicable meet the independence requirements of the applicable stock exchange, quotation system or other self-regulatory organization on which the Shares are traded.

Committee. Means three or more directors designated by the Board to administer this Plan under Section 3 hereof; provided that if no Committee is designated by the Board, the Board shall constitute the Committee.

Committee. Means a committee designated by the Board, which shall consist of not less than three members of the Board who shall be appointed by and serve at the pleasure of the Board and who shall be "non-employee" directors within the meaning of Rule 16b-3 of the General Rules and Regulations under the Securities Exchange Act of 1934, as amended, and who shall be "outside" directors within the meaning of Section 162(m) of the Code.

Committee. Shall mean the Compensation Committee of the Board of Directors of the Hudson United Bancorp.

Committee. Means the Human Resources and Compensation Committee (the "Committee") of the Board of Directors of Cardinal Health, Inc. The Committee shall be comprised of two or more "outside directors" as that term is defined in Section 162(m) of the Code and the regulations promulgated thereunder, as amended from time to time.

Committee. Shall mean the Compensation Committee of the Board of Directors, or its permitted delegate, consisting of two or more non-employee directors (as defined under Rule 16b-3 of the Exchange Act) appointed by the Board who meet the requirements of being outside directors within the meaning of Section 162(m) of the Internal Revenue Code of 1986, as amended (the "Code").

Committee. Means the Compensation Committee of the Board. The Committee shall (i) consist of not less than three (3) members of the Board who are not employees of the Company, (ii) be constituted to satisfy the applicable requirements of Rule 16b-3 for qualification of the transactions contemplated under the Plan for exemption under Rule 16b-3, and (iii) be constituted to satisfy the applicable requirements of Code Section 162(m) for... qualification of the transactions contemplated under the Plan for exemption under Code Section 162(m).
