Committee

Committee. Means the Special Committee of the Board, the members of which are Stephen B. Koenigsberg and Kevin J. McManus.

Committee. Means the committee appointed by the Company's board of directors, if the Company's board of directors fails to appoint such a committee, the entire board shall serve as the Committee.

Committee. Means the Compensation Committee, as constituted from time to time, of the Board or, if determined by the Board in its sole discretion, the Board.

Committee. Shall mean the committee appointed by the Board of Directors of the Corporation to administer the arrangements provided in this Agreement.

Committee. A committee of at least three members, which may consist of directors, officers or other employees, designated by the Board to administer the Plan and to perform the functions set forth herein. In the absence of a designation to the contrary, the "Committee" shall be the Compensation Committee of the Board.

Committee. Means compensation or other any committee the Board may appoint to administer the Plan. To the extent necessary and desirable, the Committee shall be composed entirely of individuals who meet the qualifications referred to in Section 162(m) of the Code and Rule 16b-3 under the Exchange Act. If at any time or to any extent the Board shall not administer the Plan, then the functions of the Board specified in the Plan shall be exercised by the Committee.

Committee. Shall mean the Compensation Committee of the Board of Managers. The Committee shall be composed of not less than two managers of the Company.
