Committee

Committee. Shall mean the COMMITTEE appointed by the BOARD in accordance with Section 4.2 of this PLAN, if one has been appointed.

Committee. Shall mean the Nominating and Compensation Committee of the Company's Board of Directors.

Committee. Means the Compensation Committee of the Board, which Committee has developed the Program and has the responsibility to administer the Program.

Committee. Means the duly designated compensation committee of Cinergy's Board of Directors.

Committee. Means the Compensation Committee of the Board; provided, that the Board by resolution duly adopted may at any time or from time to time determine to assume any or all of the functions of the Committee under the Plan, and during the period of effectiveness of any such resolution, references herein to the "Committee" will mean the Board acting in such capacity.

Committee. Means the Compensation Committee of the Board, or such other committee consisting solely of two or more Independent Directors of the Board appointed by the Board to administer the Agreement, or if there is no such committee, the Board.

Committee. Shall mean Committee, as defined in the Plan; provided, however, that in the event the Grantee is serving on the Compensation Committee at the relevant time, then "Committee" shall mean the Board.

Committee. Means a committee of two or more directors designated by the Board to administer the Plan. The full Board may perform any function of the Committee hereunder, in which case the term "Committee" shall refer to the Board. Initially, the Compensation and Stock Option Committee of the Board of Directors will be designated as the "Committee" under the Plan.

Committee. Shall mean the Compensation & Stock Option Committee of the Board or, in the event the Grantee is serving on the Compensation & Stock Option Committee at the relevant time, the Board.

Committee. The Compensation and Governance Committee or its equivalent.
