Committee

Committee. Means the Compensation Committee of the Board. If at any time no Committee shall be in office, then the functions of the Committee shall be exercised by the Board.

Committee. Shall mean the Compensation Committee, which is appointed by the Board, and which shall be comprised of at least two members who need not be members of the Board.

Committee. Shall mean the Compensation Committee appointed by the Board, which at all times shall consist solely of Independent Directors.

Committee. Means the Committee of the Board or any other committee appointed by the Board which is invested by the Board with responsibility for the administration of the Plan and whose members meet the requirements for eligibility to serve as set forth in the Plan.

Committee. Means the Committee of at least two (2) individuals appointed by the Board for purposes of administering the Plan, or any successor committee. If a Participant serves on the Committee, such Participant shall not be authorized to make any determinations or decisions with respect to his participation hereunder or with respect to payment of Supplemental Benefits to such Participant hereunder. Committee. Means the Human Resources and Compensation Committee of the Board or any other committee appointed by the Board that is invested by the Board with responsibility for the administration of the Plan, which Committee shall be composed of not less than three directors of the Company elected or to be elected as members of the Committee from time to time by the Board.

Committee. The Compensation Committee of the Board of Directors or any successor Committee appointed by the Board of Directors. In the absence of the appointment of the Committee, the Board of Directors of the Bank shall exercise all of the powers of the Committee under the Plan.

Committee. Means a committee of Directors or of other individuals satisfying Applicable Laws that the Board may appoint as provided in Section 4.

Committee. The Board of Directors of Perot Systems or the committee of the Board, Chief Executive Officer or other officer of Perot Systems appointed to administer or to have authority with respect to the Plan.
