Committee. The Compensation Committee of the Board. The Committee shall consist of at least two individuals, each of whom qualifies as (a) a Non-Employee Director, (b) an "outside director" pursuant to Section 162(m) of the Code and the regulations issued thereunder, and (c) an "independent director" under the rules of the principal securities market on which the Company's Shares are traded. Reference to the Committee shall refer to the Board if the Compensation Committee ceases to exist and the Board... does not appoint a successor Committee.
