Committee

Committee. Means the Compensation Committee of the Board (or a successor committee with the same or similar authority) or the full Board until such time as such authority has been delegated to the Committee by the Board.

Committee. Committee. The Leadership and Compensation Committee of the Company's Board of Directors.

Committee. Shall mean the Compensation and Corporate Governance Committee of the Board, provided, further, that in granting Performance Awards, Committee shall refer to only those members of the Compensation and Corporate Governance Committee who are "Outside Directors" within the meaning of Section 162(m) of the Code.
