Committee

Committee. The Administrative Committee as appointed by the Board of Directors Compensation Committee of Valmont ("Compensation Committee").

Committee. The Administrative Committee composed of such individuals as may be appointed by the Board which shall function as the administrator of the Plan.

Committee. The Compensation, Governance and Nominating Committee of the Board or such successor committee.

Committee. Shall mean the Board or the administrative committee appointed by the Board in accordance with Section 5(a) of the Plan.

Committee. Shall mean the committee appointed by the Board of Directors of OSI Systems, Inc. to administer the Plan in accordance with Section 13 below, if one is appointed.

Committee. Shall mean the Compensation Committee of the Board or, if no Committee has been appointed, the Board (acting by a majority).

Committee. The Compensation Committee of the Company's Board of Directors or such other committee that is designated by the Board of Directors to administer the Plan. In the event that no such Committee exists or is appointed, "Committee" refers to the Company's Board of Directors.

Committee. A committee of Directors appointed by the Board to administer this Plan. Committee. The Compensation, Management Development and Succession Committee of the Board, any successor committee thereto or any other committee of the Board appointed by the Board to administer the Plan or to have authority with respect to the Plan, or any subcommittee appointed by such Committee. With respect to any provision regarding the grant of Qualifying Performance Awards, the Committee shall consist solely of at least two 'outside directors' as defined under Section 162(m) of the Code

Committee. Shall mean the Compensation Committee of the Board or any subcommittee thereof formed by the Compensation Committee to act as the Committee hereunder.
