Committee

Committee. The Compensation Committee of the Board of Directors of Global Industries, Ltd.

Committee. Shall mean a committee appointed by the Board in accordance with Section 4(a) below, if one is appointed.

Committee. Means the Stock Option and Compensation Committee of the Board (or any successor thereto) or its delegate, or such other committee appointed by the Board to administer the Plan. If no members have been appointed to the Committee, the Board shall act as the Committee.

Committee. Shall mean the Committee defined in Paragraph 2(k) of the Plan and designated pursuant to Paragraph 3(a) of the Plan to administer the Plan.

Committee. Shall mean the Executive Compensation Committee of the Board or any person or persons appointed by the Board to administer the Plan (which may include one or more Company employees).

Committee. Shall mean the person or persons designated by the Board to administer the Plan. If no such person or persons are designated, then Committee shall mean the President of the Company.

Committee. Shall mean the Committee of the Board of Directors constituted as provided in Paragraph 4 of the Plan.

Committee. Shall mean the Committee referenced in Paragraph 3 of the Plan.

Committee. Means the Compensation Committee of the Board, the composition and governance of which is established in the Committee's Charter as approved from time to time by the Board and subject to the rules and regulations of The Nasdaq Stock Market, Inc., and other corporate governance documents of the Company.
