Committee

Committee. The committee appointed by the Board to administer the Plan as described in Section 4 below

Committee. The Compensation Committee of the Board or such other committee as may be designated by the Board. If the Board does not designate the Committee, references herein to the Committee shall refer to the Board

Committee. (j) "Committee" means the Compensation Committee of the Board, or its designee.

Committee. The Board's Human Resources and Compensation Committee or such other committee appointed by the Board to administer the Plan pursuant to Section 3.1

Committee. Means the Compensation Committee of the Board. If there is no Compensation Committee of the Board, the term "Committee" shall be deemed to refer to the Board for all purposes under the Plan.

Committee. The Compensation Committee of the Board which shall be comprised of three or more Directors, all but one of whom must meet the independence requirements under the NASDAQ Marketplace Rules (i.e. non-employee outside directors who are free from any relationship that would interfere with the exercise of his or her independent judgment)

Committee. The Compensation Committee of the Board of Directors of Weyerhaeuser Company

Committee. The Compensation Committee of the Board. The Committee shall consist of at least two directors, each of whom shall be (i) a "non‐employee director" within the meaning of Rule 16b‐3 (or any successor rule) under the Exchange Act, unless administration of the Plan by "non‐employee directors" is not then required in order for exemptions under Rule l6b‐3 to apply to transactions under the Plan and (ii) "Independent."

Committee. A committee of Directors appointed by the Board

Committee. The Compensation Committee of the Board or its designee.
