Committee

Committee. A committee comprised of one or more members of the Board appointed by the Board in accordance with Section 4 of the Plan.

Committee. The Compensation Committee of the Board of Directors of Belk or, if all the members of such Committee fail to satisfy the requirements to be an "outside director" under § 162(m) of the Code, a subcommittee of such committee which consists solely of members who satisfy such requirements.

Committee. Means the Board or its Compensation Committee duly appointed by the Board to administer the Plan.

Committee. Means the Board or its Compensation, Nominating and Governance Committee duly appointed by the Board to administer the Plan.

Committee. Shall mean a committee of two or more Board members appointed by the Board to exercise one or more administrative functions under the Plan.

Committee. The committee designated by the Board to administer the Plan under Section 4. The Committee shall have at least two members, each of whom shall be a "non-employee director" as defined in Rule 16b-3 under the Act and an "outside director" as defined in Section 162(m) of the Code and the regulations thereunder.

Committee. Means the Compensation Committee of the Board or other persons appointed by the Board.

Committee. Shall mean any Committee appointed by the Board in accordance with Section 4(a) of the Plan, if one is appointed. Once appointed, such Committee shall continue to serve in its designated capacity until otherwise directed by the Board.
