Confidential Information

Confidential Information. All information disclosed, directly or indirectly, by one party to the other under and during the term of this Agreement or prior to the Effective Date, that is identified as confidential or is customarily regarded as confidential within the industry, whether disclosed in electronic, tangible, oral or visual form.

Confidential Information. Any proprietary information that is disclosed by either Party to the other in any form during the Term of this Agreement and shall also include without limitation the terms and existence of, and all negotiations relating to, this Agreement.

Confidential Information. (i) any information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement that is disclosed in writing, orally or by inspection, and is identified in writing as "Confidential" or "Proprietary", and (i) any information, in any form, disclosed in any way by MSI to Licensee that relates to the Platform and that is not publicly known.

Confidential Information. All information of one Party possessed, obtained by, developed for or given by one Party to the other Party which the disclosing Party treats as confidential or proprietary at the time of disclosure including, without limitation, this Agreement, Program Inventions, research materials and developments, formulations, techniques, methodology, assay systems, formulae, procedures, tests, equipment, data, reports, know-how, sources of supply, patent positioning, relationships with consultants and... employees, business plans and business developments, information concerning the existence, scope, results or activities of any research, development, manufacturing, marketing or other programs of either Party, and any other confidential information about or belonging to either Party's suppliers, licensors, licensees, partners, affiliates, customers, potential customers, donors or others.
